Opening a dispensary in Virginia
Virginia is the largest new adult-use market on the East Coast in this cycle. Legislation enacted in 2026 sets up a full commercial market, the CCA released draft regulations in September 2026, and retail sales are planned to begin July 1, 2027. The draft rules contemplate up to 350 retail stores before 2028, with licenses awarded by lottery where qualified applicants outnumber licenses.
Because licenses will be drawn by lottery, preparation decides who qualifies and who can open fast once selected. Winners are expected to have 18 months to secure a site, local zoning, a buildout and inspection, which makes Virginia a large pre-opening market from late 2027 onward.
The regulator and the law
The Virginia Cannabis Control Authority (CCA) regulates medical cannabis and will license and regulate the adult-use market. The 2026 legislation was enacted June 29, 2026 through the budget bill (HB 30). The CCA released an initial draft of its regulations (3VAC10) in September 2026; the Cannabis Public Health Advisory Council reviews them through December 2026, and final regulations are expected to be published and take effect in January 2027. Every rule below is based on the law and the draft and may change in the final regulations.
License types
| License | What it covers |
|---|---|
| Retail store | Sells to adults 21 and over. The draft limits sales floors to 2,500 square feet and allows delivery. Up to 350 statewide before 2028 under the draft. |
| Microbusiness | Grows, processes and sells from up to two premises within a set distance. Up to 100 under the draft. A microbusiness may not hold any other license. |
| Cultivation (Tiers I to V) | Tiers by canopy size; only five Tier V licenses. |
| Processing, testing, transporter, delivery operator | Supply-chain licenses. |
| Dual use | For existing medical pharmaceutical processors converting to serve adult use, with a large conversion fee. |
How licenses are awarded and current windows
The CCA plans to open applications in phases. By February 1, 2027, conversion applications open for pharmaceutical processors and industrial hemp processors or growers, along with some microbusiness applications. The CCA must issue certain initial licenses by May 1, 2027, and retail sales begin July 1, 2027. Retail store application timing will be set by the final regulations; current reporting points to applications opening in 2027.
- The CCA publishes a notice of open applications with fees, criteria and the deadline.
- Under the draft, applicants file one application per license type per notice. No site is required to apply.
- Applications include background checks, fees, an impact licensee determination if claimed and a signed labor peace agreement attestation.
- Where qualified applicants exceed available licenses, the CCA holds a lottery. Impact applicants are drawn in their own lottery first, and those not selected join the general pool.
- Winners receive preliminary approval and, under the draft, 18 months to secure a site, local zoning, buildout and key staff before final licensing.
Ownership and management agreement rules
- A person may not hold an interest in more than five licenses, transporters excluded.
- Interest means a direct or indirect equity interest of at least 10% of the ownership, voting power or economic value of an entity, and it can reach officers, directors and other management positions.
- Law firm analyses note that certain management or brand-licensing arrangements may count toward these limits. Flat, fair-market fees and no management titles reduce that risk.
- No license may be assigned, sold or transferred without prior CCA approval. New owners above set thresholds are fingerprinted.
- The CCA may revoke a license obtained through a fraudulent or predatory arrangement.
Virginia has not yet published a rule written specifically for management services agreements. Until it does, we use flat fees, no equity or titles in impact licensees and clear licensee control.
Social equity program
Virginia's impact licensee program gives priority to residents who lived in areas disproportionately affected by cannabis enforcement or in economically disadvantaged communities and who meet at least one additional criterion, such as a family member's marijuana conviction, Pell Grant eligibility or veteran status. Impact licensees must be at least 51% owned and directly controlled by qualifying individuals, and controlling interests cannot be transferred for five years. Impact applicants get their own lottery drawing for each license type.
Taxes
| Tax | Rate or rule |
|---|---|
| State cannabis tax | 6%, rising to 8% on July 1, 2029 |
| State and regional sales tax | 5.3% to 7%, depending on location |
| Mandatory local cannabis tax | 1% to 3.5% |
| Total at the register | About 12.3% to 16.5% |
| Federal | 280E still limits deductions for adult-use businesses |
Rates are from the 2026 law as summarized by counsel. Confirm with the Virginia Department of Taxation before you model.
Local approval steps
- Localities cannot ban cannabis businesses outright, but they control zoning, hours and local business licenses.
- The draft rules set a 1,000-foot minimum distance from schools, colleges, hospitals and child day programs. Localities such as Virginia Beach are studying their own zoning rules, so check the town early.
- After a lottery win, submit the site package. Under the draft, the locality has 30 days to object and the CCA decides within 90 days of a complete package.
- Home-based cannabis businesses are not allowed.

Common mistakes
Waiting for final rules to start
The draft shows the shape of the market. Ownership, funding and operating plans can be prepared now.
Percentage-based management or brand fees
These may count as economic value toward the five-license limit.
Structures that look like control of an impact licensee
Options, puts or vetoes that shift control inside five years put the license at risk.
Signing an expensive lease before the lottery
No site is required to apply. Use contingent letters of intent instead.
Ignoring the 18-month clock
Winners who are not ready to build can lose the license.
