Opening a dispensary in Maryland

Maryland's first adult-use licensing round was reserved for social equity applicants and awarded by lottery in 2024. By July 2026 the state had issued 83 social equity dispensary licenses, but only 17 of those stores were open, alongside 99 existing dispensaries. That leaves dozens of licensees who need a site, capital, a build and an inspection, on a deadline.

Conditional licenses expire 24 months after issuance unless the licensee converts to a final license or wins an extension, so the clock matters. Maryland also caps management fees and bars any transfer of control through a management agreement.

The regulator and the law

The Maryland Cannabis Administration (MCA) licenses and regulates the market, with the Alcohol, Tobacco, and Cannabis Commission and the Office of Social Equity. The legal framework is the Cannabis Reform Act of 2023, Title 36 of the Alcoholic Beverages and Cannabis Article and the regulations at COMAR 14.17.

License types

LicenseWhat it covers
Dispensary (standard)Retail sales to adults 21 and over and to medical patients.
Micro dispensaryA smaller-scale retail license.
Grower and processor (standard and micro)Cultivation and manufacturing licenses.
On-site consumption and incubator spaceAdditional license types created by the 2023 Act.

How licenses are awarded and current windows

The first round was open only to social equity applicants. The MCA accepted applications in late 2023 and held lotteries in 2024, issuing roughly 191 conditional licenses across license types beginning in summer 2024.

  • Conditional licenses expire 24 months after issuance (COMAR 14.17.05.05).
  • The MCA may grant up to two six-month extensions to licensees who show consistent good-faith efforts, such as control of a suitable premises, an executed letter of intent or documentation that a local government unduly burdened them.
  • Request an extension at least 30 days before expiration. The MCA generally decides within 30 days, and the license stays in effect while a request is pending.
  • Licensees who do not convert or obtain an extension face rescission.

The MCA has not announced dates for its next licensing round as of October 2026.

Ownership and management agreement rules

  • During conditional licensure, the social equity applicant must hold at least 65% of the equity. Qualifying individuals must keep at least 51% for five years.
  • No transfer of control for five years after final licensure, with narrow exceptions.
  • The MCA must approve management services agreements. Management fees are capped at the greatest of 25% of revenue, 50% of net profit or $250,000, and control cannot be transferred through a management agreement.
  • Per-person limits: one grower, one processor and four dispensary licenses. Passive investors under 5% without control are exempt.
  • Investors may not hold options or convertible instruments that would let them buy control after the five-year period. Strawman ownership is a crime.

Social equity program

Social equity applicants must meet tests tied to living in or attending school in areas disproportionately impacted by cannabis enforcement. Many licensees report that the 65% ownership rule makes raising capital hard, which is why flat-fee operating support that leaves ownership untouched is valuable here.

Local approval steps

  • Local zoning can be reasonable but cannot unduly burden a licensee; documented undue burden can support an extension request.
  • Dispensaries must meet state distance rules, including 500 feet from places of worship and other sites listed in the regulations.
  • Obtain local planning and zoning approval and include evidence of it in your final licensing packet.
  • Submit SOPs and plans, pass the MCA inspection and receive the final license.

Common mistakes

Missing the conditional deadline

Request extensions early and keep documentation of good-faith progress.

Management fees over the cap

Fees above the greatest of 25% of revenue, 50% of net profit or $250,000 will not be approved.

Options and convertibles

Instruments that let an investor take control later are prohibited.

Skipping MCA approval of the MSA

Management agreements need MCA approval before they take effect.

Zoning surprises

Confirm local zoning before signing; document any undue burden.

How we help in Maryland

Maryland's unopened social equity licensees are the same challenge we have solved in New York: find a site, fund and manage the build, and pass inspection without giving up ownership. We work under flat-fee agreements that fit the MCA's management rules.
